Definition: A document required prior to an offering of a security.

A prospectus must explain the offer, including the terms, issuer, historical financial statements, planned use of the money or objective as well as any other information that may be useful to an investor in determining whether to invest. A prospectus is required as a result of the Securities Act of 1933.
